The Company was formed to acquire all the Investments through the Scheme of Arrangement sanctioned by the Hyderabad Bench of Hon’ble National Company Law Tribunal (NCLT).
Further, its Main objects are mentioned below in brief:
- To carry on the business of contractors, Builders, Traders, Infrastructure developers and Engineers, land developers, Real-estate agents, Immovable property dealers and to acquire, sale, purchase, hire or otherwise in lands, buildings, building materials, civil works, immovable property of any tenure;
- To make and hold investments in Entities;
- To carry on the business as financial advisors and to advise and assist in all financial, costing, accounting, internal control and other similar matters to advise and assist in the preparation of all revenue and capital budgets, structuring of funds, long term planning of utilisation of resources, procuring bank and institutional finance including cash, credit facilities, overdraft facilities, subscription of debentures and term loans, to assess the needs of short and long term credit facilities and raising of resources.
- To carry on business of transmitting, manufacturing, supplying, generating, distributing and dealing in electricity and all forms of energy and power generated by any source whether nuclear, steam, hydro or tidal, water, wind, solar, hydrocarbon fuel or any other form, kind or description.
Amalgamation in the nature of Merger:
Wholly owned subsidiaries of the Company namely NCL Green Habitats Private Limited and Eastern Ghat Renewable Energy Limited were merged into the Company with effect from 01st April, 2022, on sanction of the Scheme of Merger by the Hyderabad Bench and Cuttack Bench of Hon’ble NCLT, vide its Sanction Orders dt 11th October, 2023 and 11th December, 2023, respectively.
NCL GREEN HABITATS PRIVATE LIMITED:
The Company is mainly in the business of construction and real estate. Its core operation are selling and purchase of land, farms, farmlands, construction and other real-estate activities and consultancy in this sector.
Scheme of Merger between NCL Green Habitats and NCL Holdings was Sanctioned by Hyderabad Bench of Hon’ble NCLT vide its Order dt. 11th October, 2023. Accordingly, all the assets and liabilities of NCL Green Habitats as on the appointed date of the Scheme i.e. 01st April, 2022 were taken over by NCL Holdings on going concern basis.
EASTERN GHAT RENEWABLE ENERGY LIMITED:
The main business of the Company is in the sector of hydro power projects. It specializes in hydropower generation viz procuring the licenses in its name and selling the power generated. Further it looks after and implementing the project and operating various hydro projects.
Scheme of Merger between Eastern Ghat and NCL Holdings was Sanctioned by Cuttack Bench of Hon’ble NCLT vide its Order dt. 11th December, 2023. Accordingly, all the assets and liabilities of Eastern Ghat as on the appointed date of the Scheme i.e. 01st April, 2022 were taken over by NCL Holdings on going concern basis.
SUN CROP SCIENCES PRIVATE LIMITED:
Vide Order dt 24th January, 2019 of Hyderabad Bench of Hon’ble NCLT, sanctioning the Scheme of Demerger from NCL Buildtek Limited (previously NCL Alltek & Seccolor Limited), Sun Crop Sciences Private Limited became Subsidiary to the Company.
The Company is primarily into the business of agro based industry which includes seeds development, manufacturing, processing. It also focuses on Research and development of various types of seeds and grades depending on climate and water conditions. Further it has strong distribution network throughout the country which facilitates selling and purchasing of seeds.
With divestment of around 60% of Company’s investments in the Subsidiary, status of the Subsidiary changed to Associate as at 31st March, 2023.
With the remaining divestment, Sun Crop Sciences Private Limited was “Disassociated” as at 31st March, 2024.
KAKATIYA INDUSTRIES PRIVATE LIMITED:
The Company has two Divisions namely “Chemicals Division” and “Hydro Power Division”.
Chemicals Division operating from Telangana State, is into manufacturing of Chemicals which includes Sodium Nitrate and Ammonium Nitrate among others.
Hydro Power Division operating from the State of Odisha, is currently into generation and supply of Hydel energy from 2 X 4.5 MW Small Hydro Electric Power Project on Hirakud Dam.
Further, Company has proposed to Merge Nagarjuna Cerachem Private Limited (which is in the same business line of chemicals manufacturing). On approval of Scheme of Merger by Hon’ble NCLT, the same will be incorporated with effect from the appointed date i.e. 01st April, 2022 in 2024-25 financials.
